PURCHASE AGREEMENT – AXS TICKETS

Effective July 21, 2026

AXS Tickets (Singapore) Pte. Ltd. (“AXS”), an affiliated company of SISTIC.com Pte. Ltd. ("SISTIC"), provides technology platforms to its clients such as entertainment venues, promoters, sports teams and other event organisers (our “Event Partners”) to list, sell, issue and deliver tickets to events using AXS powered websites and mobile applications (the “Service”). The following terms and conditions (this “Agreement”) are incorporated into the Terms of Use and, in addition to the Privacy Policy, apply to all listings and transactions on the Service and sale or use of tickets issued via the Service, whether issued by AXS, its affiliates or Event Partners. Terms and conditions of sites linked to, by or from the Service may vary by site. Please read this Agreement carefully, because it is a contract that affects your legal rights.

Compliance with Laws

You must comply with all applicable laws and regulations relating to the purchase, sale, resale and use of tickets and must not use the Service or any ticket for any unlawful, fraudulent or unauthorised purpose.

Tickets (Right to Attend) Are a Revocable Licence

Each ticket that you purchase, receive or use is a revocable licence to attend a particular event and is subject to this Agreement and any additional terms, conditions, policies, rules or regulations imposed by the relevant Event Partner, venue operator, promoter or organiser, including any security, health, or safety procedures (“Event Terms”).

By purchasing, accepting, holding or using a ticket to attend an event, the ticket holder agrees to this Agreement on behalf of themselves and any accompanying minor under their supervision (collectively, the “Holder” and “you”).

Each ticket is valid only for the specific event, date, time, and seat or admission details stated on the ticket. The Holder must possess a valid ticket for entry to the applicable venue or event premises and must present such ticket upon request.

Failure to comply with this Agreement, applicable Event Terms, venue rules, security requirements, or the reasonable instructions of venue personnel or event staff may result in refusal of entry or removal from the venue without refund, subject to applicable law.

From Whom You Are Buying Tickets

AXS acts as a sales agent of its Event Partners with respect to primary ticket sales and is not the organiser, promoter, producer or operator of the relevant event or venue. AXS acts as an intermediary platform for resale tickets unless otherwise stated. When you buy a resale ticket, you are buying directly from the seller of that ticket. Tickets purchased at a box office may be sold by AXS, an authorised agent of AXS, our Event Partner, and/or an authorised agent of our Event Partner.

Payment

Unless otherwise stated, all ticket prices are listed in Singapore Dollars (SGD). The Service accepts various payment methods which may change from time to time.

You agree to pay all valid charges incurred by you or users of your account subject to any mandatory rights and remedies available under applicable laws.

Unless otherwise expressly stated herein, in accordance with any terms and conditions issued by an Event Partner or required under applicable law (including the Consumer Protection (Fair Trading) Act 2003 of Singapore and any other applicable consumer protection laws), purchases are non-refundable and cannot be cancelled once confirmed.

We reserve the right to suspend or cancel any transaction where a chargeback is initiated or where payment is disputed, pending investigation.

Ticket Purchases

You must supply the required payment method and/or personal information to complete your purchase. Event date, location and time are subject to change.

All fees and charges relating to your transaction will be disclosed during the purchase process. All completed transactions are final, subject to applicable law.

Our Event Partner(s) may impose limits on the number of tickets that may be purchased per person, household, account, or payment method. You agree not to circumvent such limits, including by using multiple accounts, identities or payment methods. We reserve the right, acting reasonably, to cancel any tickets purchased in excess of such limits, without liability, subject to applicable law.

You must not use any automated software, bots, or other unauthorised means to access, search for, or purchase tickets on the Service. We reserve the right, acting reasonably, to cancel any transactions or tickets, and to suspend or terminate accounts, where we suspect such activity.

Persons under the age of 18 should obtain the consent of a parent or legal guardian before purchasing tickets, merchandise or using the Service. By purchasing tickets or otherwise using the Service, you represent that you are at least 18 years old or have obtained the consent of your parent or legal guardian to do so, and that you understand and agree to this Agreement.

Venue/Event Specific Terms and Conditions

Applicable Event Terms may be made available during the purchase process, in order confirmations, ticket delivery or event reminder communications, on the relevant event or venue page of the Service, or on the applicable Event Partner’s or venue’s website. You are responsible for reviewing all applicable Event Terms prior to attending the event.

Delivery of Tickets

Tickets will be delivered as indicated at the time of purchase, most commonly via mobile delivery to your AXS account. Delivery methods and timing may vary depending on the event, and some events may have restricted or delayed delivery. Where applicable, tickets sent by post will be delivered to the address provided at the time of purchase. AXS is not responsible for failed delivery or losses resulting from incorrect information provided by you.

In some cases, tickets may be made available for collection at the box office or through an authorised agent. You may be required to present order confirmation, proof of identity and the payment method used for the transaction. Failure to provide such information may result in refusal of ticket collection, for which AXS is not responsible.

Order Confirmation

AXS or the Event Partner may send a confirmation of your purchase to the email address provided. If you do not receive a confirmation, receive an error message, or identify any incorrect details, you should contact customer service promptly at [email protected] or via Live Chat during business hours, by clicking on the ‘Have a Question’ box on our website. AXS is not responsible for transactions that were not completed or for assumptions that a transaction was completed where no confirmation was received.

Orders are processed only after payment and billing information have been verified. If incorrect information is provided and we are unable to contact you, we may cancel your order and release the tickets without further notice. Communications sent to your provided email address will be deemed received, whether or not you access them.

Resale of Tickets

You agree to comply with all applicable laws, including laws relating to unfair practices and misrepresentation, when reselling tickets.

Where required by applicable law or by our Event Partner(s), resale prices may be subject to restrictions, including maximum resale price limits. Subject to applicable law, violation may result in revocation or cancellation without refund or loss of future ticket privileges.

You shall not purchase tickets as a trader acting in the course of business or otherwise with the intent of reselling tickets for commercial purposes (including for profit) without the prior written consent of AXS and the relevant Event Partner. AXS reserves the right, acting reasonably, to cancel or invalidate any tickets, without liability, where it has reasonable grounds to believe that tickets have been purchased or are being used in breach of this requirement, subject to applicable law.

Seller fees on the Service may vary. Please refer to the seller fee information available through the Service. Applicable seller fees and any applicable taxes, including GST where required by law will be charged to you as the seller and deducted from the sale proceeds payable to you. AXS may charge fees, charges, taxes, or other amounts to buyers, which will be disclosed during the purchase process. Such amounts are separate from the sale proceeds payable to you, and you are not entitled to any fees or charges paid by the buyer.

Following a sale, you will receive an email confirming your net proceeds and details of how those proceeds will be made available to you. The proceeds from resale ticket transactions may not be immediately available for disbursement and AXS may delay the disbursement until the associated event has occurred.

Right to Cancel Transaction

We may cancel transactions when reasonably necessary, including in cases of suspected fraud or illegal activity, payment failure, pricing or system errors, breach of this Agreement, or where required by law.

Help Center

Our Help Center allows current and potential customers to explore answers to frequently asked questions regarding the Service. If you are unable to find an answer to your question, you can request further assistance by emailing [email protected]. You can also chat with a virtual agent or via Live Chat during business hours, by clicking on the ‘Have a Question?’ box on our website. Current customers may be asked to provide specific personally identifiable information that matches the current information in their account in order to resolve their issue.

Event Cancellations/Postponements/Event Changes

Events may be cancelled, postponed, or rescheduled.

Any refunds, credits, exchanges or other remedies in connection with cancelled, postponed, rescheduled or materially changed events shall be determined by the applicable Event Partner, subject to applicable law. If an event is cancelled and not rescheduled, refunds will generally be issued to the original payment method.

Fees may be retained only to the extent permitted by law and where they reflect reasonable costs incurred.Event details, including performers, programmes, line-ups, venue, seating layouts, seat locations, date and timing, are subject to change. Venue seating layouts and seat locations may occasionally be modified by the Event Partner or venue for operational, production, sightline, safety, security or other reasons. In such circumstances, tickets may be reassigned to seats of equal or greater value without refund. Where replacement seats are of a lower value than the original ticket purchased, any available remedy shall be limited to a refund of the difference in ticket price, unless otherwise required by applicable law.

Waiver & Limitation of Liability

To the fullest extent permitted by APPLICABLE law, the Holder hereby releases and waives any claims against AXS, AXS Group LLC, SISTIC.com Pte. Ltd., the Event Partner, any owner, manager, operator, or sponsor of the venue, any promoter, producer, or sponsors of the event, any leagues, teams, artists, advertisers or suppliers of the event, and each of their respective parents, subsidiaries, affiliates, owners, members, managers, directors, officers, employees, volunteers, agents, representatives, successors and assigns (collectively, the “Releasees”) for any losses, damages, liabilities, or claims arising out of or in connection with attendance at or participation in the event, whether occurring before, during, or after the event, including risks of injury or illness.

Nothing in this clause excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded under the Unfair Contract Terms Act (Cap. 396) or other applicable law.

Subject to the above and to the extent permitted by law, Releasees shall not be liable for any indirect, incidental, consequential, special or punitive damages arising out of or relating to the Service or any event.

Assumption of Risk

Holder acknowledges that attendance at events may involve certain inherent risks, including risks associated with inclement weather, force majeure events, crowd conditions, loud noises, strobe lighting, theatrical effects, illness, injury, and the acts or omissions of other attendees. To the fullest extent permitted by applicable law, Holder voluntarily assumes all risks arising from or incidental to attendance at or participation in the event.

AXS is not responsible for the acts or omissions of the Event Partner, or any third party at or in connection with the event, including any issues relating to event management, safety, security, or the conduct of other attendees.

Nothing in this clause limits liability where such limitation is not permitted under applicable law.

Conduct and Security

Failure to comply with applicable venue rules or security requirements may result in refusal of entry or removal without refund, subject to applicable law. You may not bring alcoholic beverages, bottles, cans or containers, laser pointers, irritants (e.g., artificial noisemakers), video recording devices, strobe lights or other prohibited items onto the premises. You agree not to bring or carry any weapon of any kind into the venue prior to, during, or after the event. Entry may be refused or revoked where a person is intoxicated, disruptive, abusive, unsafe or in possession of prohibited items.

You and your belongings may be subject to security checks, screening or searches at the venue. Refusal to consent to such checks or searches may result in refusal of entry or removal from the venue without refund.

Recording and Media

Recording, filming, or reproduction of events is prohibited. By attending the event, Holder agrees that the Event Partner may utilize Holder’s image, name, voice, likeness, actions and/or statements made by Holder, in any live or recorded video display or other transmission, reproduction, promotion, or marketing of the event, in any and all media now known or hereafter devised, without compensation to the Holder. Holder shall not sell, transmit, or aid in transmitting any description, account, picture, or reproduction of the event.

Promotion and Intellectual Property Restrictions

Tickets may not be used for any advertising, promotions, contests, or other commercial purposes without the prior express written consent of AXS, the applicable Event Partner, or other relevant rights holder.

You may not use, reproduce, distribute, or display any trademarks, service marks, logos, trade names, or other intellectual property of AXS, SISTIC, Event Partners, or any event-related rights holders in connection with tickets or events without the prior express written consent of the relevant rights owner.

Any unauthorised use may result in cancellation of tickets or transactions and/or denial of entry, subject to applicable law.

Third-Party Websites

We are not responsible for third-party websites or services, to the extent permitted by law.

Dispute Resolution and Governing Law

This Agreement shall be governed by the laws of Singapore. Any dispute arising out of or in connection with this Agreement shall be resolved in accordance with the Dispute Resolution and Governing Law provisions set out in the Terms of Use, which are incorporated by reference into this Agreement.

Force Majeure

We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including acts of God, government actions, pandemics, or technical failures.

No Reliance

You acknowledge that you have not relied on any representation, warranty or statement not expressly set out in this Agreement.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
